END USER LICENSE AGREEMENT

Francis Bookkeeping Client Portal

Effective Date: June 3, 2026

1. Agreement Overview

This End User License Agreement ("Agreement") is a legal agreement between you ("User," "Client," or "you") and Francis Bookkeeping LLC ("Francis Bookkeeping," "we," "us," or "our"), located at FrancisBookkeeping.com, governing your use of the Francis Bookkeeping Client Portal ("Application" or "Portal").

By accessing or using the Portal, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not access or use the Portal.

2. Description of the Application

The Francis Bookkeeping Client Portal is a private, invitation-only web application that provides authorized clients of Francis Bookkeeping with:

•       A personalized financial KPI dashboard displaying key performance indicators derived from your QuickBooks Online account

•       Secure document sharing capabilities between you and Francis Bookkeeping

•       Access to financial reports, tax documents, and other bookkeeping materials prepared on your behalf

Access to the Portal is granted exclusively to active clients of Francis Bookkeeping. Unauthorized access is strictly prohibited.

3. QuickBooks Online Integration

3.1 Authorization

The Portal integrates with Intuit QuickBooks Online ("QBO") to retrieve your financial data. By connecting your QuickBooks Online account to the Portal, you explicitly authorize Francis Bookkeeping to:

•       Access your QuickBooks Online financial data on your behalf

•       Retrieve reports including Profit & Loss, Balance Sheet, Accounts Receivable Aging, Accounts Payable Aging, and Cash Flow statements

•       Store access tokens necessary to maintain your QuickBooks Online connection

•       Refresh your connection periodically to ensure uninterrupted access to your financial data

3.2 Scope of Access

Francis Bookkeeping accesses your QuickBooks Online data solely for the purpose of displaying your financial KPIs within the Portal and providing bookkeeping services as outlined in your service agreement. We do not access, modify, or delete any transactions or records in your QuickBooks Online account without your explicit instruction.

3.3 Revoking Access

You may revoke QuickBooks Online access at any time by contacting Francis Bookkeeping at Michael@FrancisBookkeeping.com or by disconnecting the application through your Intuit account settings at accounts.intuit.com.

4. Data Privacy and Security

4.1 Data We Collect

Through your use of the Portal, we collect and store the following information:

•       Your name, company name, and email address

•       Financial data retrieved from your QuickBooks Online account

•       Documents you upload to the Portal

•       QuickBooks Online access and refresh tokens (encrypted)

•       Login activity and session information

4.2 How We Use Your Data

Your data is used exclusively to:

•       Display your financial KPIs and reports within the Portal

•       Facilitate secure document sharing between you and Francis Bookkeeping

•       Provide bookkeeping and financial advisory services as contracted

•       Maintain and improve the Portal functionality

4.3 Data Security

Francis Bookkeeping employs industry-standard security measures to protect your data, including:

•       Encrypted data storage through Supabase

•       Secure HTTPS connections for all data transmission

•       JWT-based authentication with session expiration

•       Private file storage with signed, time-limited download URLs

•       No sharing of your financial data with third parties except as required to provide services or as required by law

4.4 Data Retention

Your data is retained for the duration of your active client relationship with Francis Bookkeeping. Upon termination of services, your data will be retained for a period of seven (7) years in compliance with standard accounting and recordkeeping requirements, after which it will be securely deleted upon request.

5. User Responsibilities

As a User of the Portal, you agree to:

•       Keep your login credentials confidential and not share them with any third party

•       Notify Francis Bookkeeping immediately at Michael@FrancisBookkeeping.com if you suspect unauthorized access to your account

•       Use the Portal only for lawful purposes in connection with your bookkeeping services

•       Not attempt to access data belonging to other clients

•       Not attempt to reverse engineer, copy, or reproduce any aspect of the Portal

•       Provide accurate information when requested

6. Intellectual Property

The Portal, including all software, design, content, and code, is the exclusive property of Francis Bookkeeping. This Agreement does not grant you any ownership rights in the Portal. Your financial data remains your property at all times.

7. Disclaimer of Warranties

THE PORTAL IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. FRANCIS BOOKKEEPING MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED ACCESS.

Francis Bookkeeping does not warrant that the Portal will be error-free or that financial data displayed will be free from discrepancies arising from your QuickBooks Online account. The Portal displays data as provided by QuickBooks Online and does not independently verify or guarantee its accuracy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FRANCIS BOOKKEEPING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE PORTAL, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

9. Termination

This Agreement remains in effect for the duration of your active client relationship with Francis Bookkeeping. Either party may terminate access to the Portal at any time. Upon termination:

•       Your access to the Portal will be revoked

•       QuickBooks Online tokens will be invalidated

•       Your data will be retained per Section 4.4 above

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Delaware County, Ohio.

11. Changes to This Agreement

Francis Bookkeeping reserves the right to modify this Agreement at any time. Clients will be notified of material changes via email. Continued use of the Portal following notification of changes constitutes acceptance of the revised Agreement.
